Letter to Shareholders

Dear Fellow Shareholders,

The Bank of Princeton (the “Bank”) completed a successful year 
with earnings of $11.0 million, or $1.90 per diluted common share, 
and total assets reaching $1.2 billion. These results were a part 
of the Bank’s strategic initiative of increasing shareholder value, 
by growing the Bank’s earning assets through controlled prudent 
growth and the reduction of operating expenses. During 2017, 
the Bank increased net interest income by 3.9% or $1.5 million 
compared to 2016, reduced operating expenses by $427,000, and 
improved non-interest income by $476,000, achieving an efficiency 
ratio1 of 55.6%.

The Bank has experienced many changes since its opening in 2007, 
when it ended its first year with 3 branches and $66.4 million in 
assets, to its current levels of 13 branches and an operations center 
along with $1.2 billion in total assets. The Bank has maintained its 
success by staying the course with its original core mission of target- 
ing the commercial real estate and the small business communities 
for their lending needs, and catering to the local community by 
offering competitive rates on deposits along with its involvement in 
the community. This growth has also provided the Bank the ability 
of expanding its market area along the Route 95 corridor to include 
as far north as New York City and as far south as Philadelphia.

          Notable Highlights for 2017

      •  On August 4, 2017, the Bank successfully completed a 
          common stock offering and issued 1.7 million shares of 
          common stock at a price of $32.00 per share. This offering 
          raised $51.9 million and our common stock began trading 
          on the “NASDAQ Global Select Market” under the ticker 
          symbol “BPRN.” Moving to the NASDAQ market provided 
          an opportunity for shareholders to enjoy a liquidity event. 
          Shares closed up on the market at $34.34 at year-end, an 
          annualized increase of 18.6%, compared to the offering price.

      •  Achieved a return on average assets of 1.02% and return 
          on average equity of 8.3% for 2017.

      •  The year-end closing price of $34.34 reflected a 33.7% 
          premium compared to the Bank’s book value.

      •  Net loans at December 31, 2017 increased $108.9 million, 
          or 12.8%, from the level at December 31, 2016.

      •  Total deposits at December 31, 2017 increased $166.1 
          million, or 19.3%, from the level at December 31, 2016.

      •  The American Bankers Association rated the Bank 35th 
          in a ranking of the top 200 publicly traded community 
          banks and thrifts by three-year average in the nation. 
          This marks the fourth consecutive year the Bank has 
          achieved a rating in the Top 50.

      •  The Bank successfully launched a number of products and 
          promotions in 2017. The addition of the “Princeton Money  
          Market” and “Princeton Savings” promotions enabled the   
          Bank to expand existing relationships and increase its 
          market share.

      •  Our branch network continued to support the non-profit 
          organizations and community events in Mercer, Hunterdon,  
          Middlesex and Somerset counties in New Jersey and in 
          Philadelphia, Montgomery and Bucks counties in 
          Pennsylvania.

Established in 2007, The Bank of Princeton opened its Chambers Street doors 
for business on the 23rd of April. Since then, the Bank has grown to include ten 
branch locations in New Jersey that serve the Mercer, Hunterdon, Middlesex, 
and Somerset markets. Through the acquisition of MoreBank in 2010, the Bank 
extended its footprint with three branches in nearby Pennsylvania. Together, 
The Bank of Princeton and MoreBank branch network consists of thirteen 
locations and a comprehensive Operations Center.
